The Board of Wm Morrison Supermarkets Plc (the “Company”) announces that Brian Flanagan, a non-executive director of the Company since July 2005, who would shortly complete his second three year term as a non-executive director, has informed the Board that it is his intention to step down from the Board, with effect from the Company’s 2011 Annual General Meeting, scheduled for 9 June 2011. Accordingly, he will not seek re-election to the Board at the AGM.
Following a review and selection process by the Board’s Nomination Committee, the Board has accepted the recommendations of the Nomination Committee and confirmed the following appointments with immediate effect:
- Nigel Robertson is appointed as Senior Independent Director;
- Johanna Waterous is appointed as chair of the Board’s Remuneration Committee; and
- Penny Hughes will assume the chair of the Board’s Corporate Compliance and Responsibility Committee.
Nigel Robertson joined the Board in July 2005 and has served as a member of the Audit, Remuneration and Nomination Committees of the Board and, from September 2009 as chair of the Corporate Compliance and Responsibility Committee. He will continue to serve as a member of the Corporate Compliance and Responsibility Committee.
Johanna Waterous joined the Board in February 2010 and has served as a member of the Audit, Remuneration, Nomination and Corporate Compliance and Responsibility Committees of the Board.
Penny Hughes joined the Board in January 2010 and has served as a member of the Audit, Remuneration and Nomination Committees of the Board. Penny assumes the chair of the Corporate Compliance and Responsibility Committee in succession to Nigel Robertson to allow Nigel to dedicate sufficient time to the important role of Senior Independent Director.
Philip Cox, who joined the Board as a non-executive director in April 2009, will remain as chair of the Board’s Audit Committee, a position he has held since September 2009.
Commenting upon these changes of the composition of the Board and the responsibilities of individual directors, the non-executive Chairman of the Company, Sir Ian Gibson, said:

His contribution to the stable position which the Company now enjoys has been significant and he will step down at our 2011 AGM in June with the Board’s appreciation for all of his hard work and dedication.”

I am sure that Nigel, Johanna, Penny and Phil will continue to bring their wealth of experience and knowledge to our Board in the key positions which they now occupy.”
